Acquisitions and Corporate Advisory (ACA) is part of our Corporate Services. Our Acquisition team provide expertise and accurate due diligence reviews to the M&As to match the type of business or company being acquired, such as its risk profile, customer base, and product lines, conducting synergies assessments by deal type (channel, scope, scale, technology) to ensure value is not lost during integration. Additionally, the Corporate Support teams have a broad view into overall corporate operations to collaborate in key corporate areas such as (i) Treasury, (ii) Equity, (iii) E-Discovery, (iv) Litigation, (v) Contract Documentation Alignment Team (CDAT), (vi) Government relations and (vii) Legal Cyber Review Team (LCRT).

As other corporate functions, ACA is also already focusing on technology disruption. The “three A’s” (automation, artificial intelligence, and analytics) are just a few technology disrupters that will likely shape the function soon.

📌 What Challenges Await You:

  • Submit new requests for demand management and revision of budgets for existing matters.
  • Manage court calendar, budgets and invoice payments. Liaise with procurement, the T360 team and external counsels to ensure that invoices are issued on time, that the proper steps have been followed and that payment has been undertaken.
  • Demonstrate intermediate understanding of the services that Accenture is undertaking for each client.
  • Demonstrate intermediate understanding of the ecosystem of each project and the various players, their roles and input as well as to identify the roles of our internal clients, the roles of the function supported, and the role of the different functions within a project as well as the different phases of a proposal and the project.
  • Prepare contract dashboards/overview of the key contractual clauses such as change of requests, events of default, termination, liabilities, jurisdiction etc.
  • Review and comment on settlement agreements and notices of breach/termination, etc.
  • Review subcontractors’ obligations and comparing them with Accenture’s obligations in order to identify the relevant gaps between the sets of obligations.
  • Research and evaluate contractual documentation to understand risks and non-compliance situations and liaise with the respective CM team and the business and extract as much information as possible from them and understand how to organize the input received from them in order to meet their needs.
  • Evaluate contractual documents to establish cause of action and explain potential risks (in case of breach) and liabilities, defense. etc. in case of dispute to help in minimize the risk to the company.
  • Assist the business in identifying the variance between the actual and contractually agreed scope of work.
  • Responsible for handling all the responses to the RFP questions that the team receives

Requisitos

📌 What will make you successful:

  • Education and qualifications: Bachelor’s degree in law/Juris Doctor Degree - Bar Admitted/Professional License
  • Work Experience: Preferably 6 years’ + of experience at law firm and/or as in-house counsel. Must have at least 3-year experience in Litigation or Arbitration practice
  • Work requirements: Fluent in English. Travel may be required.
  • Good knowledge and experience to advice on the management dispute matters
  • Ability to effectively communicate with executives at all levels of the organization.
  • Good time-management, prioritization, organizational and problem-solving skills.
  • Demonstrates ability to consistently undertake contract review and drafting to a reasonable standard with limited external inputs.
  • Displays a high level of responsiveness and follows through on commitments.
  • Detail-oriented, sound judgement, organized, and flexible.
  • Demonstrates a specialized subject-matter experience.
  • Open to work with and understand cross-cultures and locations throughout Accenture global organization.
