M&A Counsel - APAC

People in the Corporate Function career track contribute to the running of Accenture as a high- performance business through specialization within a specific functional area and grow in focused roles by deepening their skills and/or developing new skills within their functional area.
Accenture’s global M&A legal team has supported Accenture’s deployment of close to US$5 billion in strategic acquisitions over the last several years.  Join the team and be the legal lead on multiple, complex M&A and strategic investment transactions, in the Asia-Pacific region, within a fast-paced corporate environment. Advise senior company leadership on legal risks, mitigations, structuring and negotiating strategy associated with such transactions.
Key Responsibilities  
  • Act as lead lawyer representing Accenture’s interests in M&A and venture transactions.  
  • Strategize with senior company executives on the negotiation of such transactions and lead the negotiation together with the Corporate Development team.
  • Manage both in-house and external legal resources, including local counsel in cross-border transactions.
  • Manage drafting and review of transactional documents and correspondence.
  • Advise and coordinate with non-legal professionals supporting M&A and venture transactions (e.g. Corporate Development, Tax, HR, etc.).
  • Coordinate and manage the legal due diligence process.
  • Work with Tax and other advisors to structure transactions to be most advantageous from a legal and business perspective.
  • Advise and educate senior company executives on legal and risk management issues.
  • Advise, support and serve as resource for post-acquisition integration legal matters.
  • Assist the Corporate Development team with post-closing matters including working capital true-up payments and disputes, earn-out disputes, indemnifications claims, etc.
  • Stay abreast of business and legal developments in the M&A field affecting Accenture and the consulting and technology industry.

Basic (Must Have) Qualifications

  • Qualified practicing solicitor or active bar membership (as applicable)
  • 8+ years of corporate transactional experience with a national or international firm and/or in-house legal department

Preferred Qualifications

  • Substantial experience advising on multi-jurisdictional M&A, including acquisitions and divestitures, and equity investments
  • Strong preference for experience advising strategic buyers

  • Strong time management, prioritisation and organisational skills
  • Excellent attention to detail and oral and written communication skills
  • Sound judgment and business acumen
  • Strong ability to be a ‘team player’
  • Good grasp of new technologies e.g. digital, analytics, cloud
  • Proficient in MS Office suite of products
