The Practice – A Brief Sketch
The Technology M&A team helps clients navigate the technology implications of mergers, acquisitions, divestitures, carve-outs, joint ventures, and business transformations. We work across the transaction lifecycle, with a strong focus on post-deal signing activities including sign-to-close planning, Day 1 readiness, integration planning, separation planning, TSA strategy and exit planning, and execution through Integration Management Offices (IMO) and Separation Management Offices (SMO).
Our professionals help clients identify and realize transaction value while managing technology risks, operational dependencies, and transformation opportunities. We work closely with executive leadership, business stakeholders, and technology teams to design and execute integration and separation strategies that enable successful transaction outcomes.
Key Responsibilities
• Lead technology workstreams across mergers, acquisitions, divestitures, carve-outs, and separation engagements.
• Support clients through sign-to-close planning activities, identifying technology risks, dependencies, synergies, and execution requirements.
• Develop Day 1 readiness strategies and support Day 1 execution planning.
• Drive technology integration and separation planning across applications, infrastructure, cloud environments, cybersecurity, data, and operating models.
• Support Integration Management Office (IMO) and Separation Management Office (SMO) governance, planning, execution tracking, and stakeholder management.
• Develop TSA strategies, transition plans, service schedules, and TSA exit roadmaps.
• Assess technology costs, risks, synergies, and implementation dependencies associated with transactions.
• Facilitate decision-making with senior client stakeholders and executive leadership teams.
• Lead teams in delivering technology M&A programs and manage project financials, staffing, and delivery quality.
• Develop executive-level presentations, steering committee materials, business cases, and transaction-related recommendations.
Bring Your Best Skills Forward
• Strong experience across Technology M&A engagements including integration planning, IT Synergy assessments, separation planning, carve-outs, Day 1 readiness, TSA management, and post-merger integration activities.
• Ability to connect transaction objectives with technology execution plans and value realization opportunities.
• Experience managing technology workstreams within complex transaction environments and coordinating across multiple stakeholder groups.
• Strong analytical, problem-solving, communication, and executive presentation skills.
• Ability to structure ambiguous problems and develop practical, actionable recommendations.
• Experience leading teams and managing multiple workstreams simultaneously.
Technology Domain Experience
Candidates should possess practical experience in at least one of the following technology domains and understand how these capabilities evolve during M&A transactions, integrations, and separations:
1. IT Infrastructure & Cloud
• Infrastructure integration and separation planning.
• Cloud migration and cloud operating model considerations.
• Data center, network, workplace, hosting, and end-user computing environments.
• Infrastructure TSA planning and exit execution.
2. ERP
• Experience with SAP, Oracle, Microsoft Dynamics, or similar ERP platforms.
• ERP integration, harmonization, migration, or carve-out activities.
• Understanding of business process impacts, reporting, controls, and data migration considerations during transactions.
3. Enterprise Architecture & IT Operating Model Transformation
• Enterprise architecture assessments and target-state design.
• Application portfolio rationalization and technology roadmap development.
• IT operating model design and transformation.
• Technology governance, capability models, and organizational design considerations during integrations and separations.
Deep SME-level technical expertise is not required; however, candidates should possess sufficient hands-on experience to assess transaction impacts, identify dependencies and risks, and support planning and execution activities within their chosen technology domain.

Your Experience Counts
• MBA from a Tier 1 institute preferred.
• 8–15 years of consulting, Deal advisory, technology advisory, transformation, or industry experience.
• Demonstrated experience supporting Technology M&A transactions, including mergers, acquisitions, divestitures, carve-outs, or joint ventures.
• Strong experience in sign-to-close planning and post-signing execution activities.
• Experience supporting or leading workstreams within an Integration Management Office (IMO) and/or Separation Management Office (SMO).
• Experience in technology integration planning, separation planning, Day 1 readiness, and TSA strategy or execution.
• Experience in at least one of the following domains: IT Infrastructure & Cloud, ERP, or Enterprise Architecture & IT Operating Model Transformation.
• Experience developing business cases, value cases, technology roadmaps, and executive recommendations.
• Proven ability to lead teams, manage client relationships, and drive successful delivery outcomes.
• Understanding of modern enterprise technologies and technology trends including cloud, cybersecurity, data, AI, and digital platforms.
