ROLE SUMMARY

 

To support the CORE Geographic Legal Services team in different geographies to:

  • Manage entity maintenance activities to ensure compliance with local and international legal and regulatory requirements;
  • To maintain GEMS, the company’s entity tool used to track and maintain key information and corporate records for all Accenture entities;
  • This includes responding to various queries and overseeing corporate governance in different countries to ensure compliance with local and International law;
  • Drafting of corporate law documentation such as board resolutions, powers of attorney and other corporate documents.;
  • Following up with Geo Lawyers and uploading documents relating to entity structural changes on the GEMS tool;
  • To assist with the approval of annual accounts process for different countries and preparation and filings of a variety of documents;
  • To produce organizational structure charts and produce reports from GEMS;
  • To provide assistance on GEMS related project work to improve the efficiency of the tool and processes;
  • To provide training to junior members of the team and updating of training materials when required;
  • To provide presentations and trainings to Geo lawyers and Geo leadership on GEMS;
  • To continuously work on identifying process improvements and automation to increase efficiency.

 

Generic Responsibilities:

  • Demonstrate promptness, accuracy and consistency with the activities supported;
  • Understand process improvements in CORE support area and assist team in drafting checklists and process documents;
  • Directly liaising with internal stakeholders on various legal and commercial issues;
  • Manage GEMS, SharePoint and communication records and manage the process by developing checklists and process documents;
  • Support Legal Services training initiatives;
  • Understand the CORE areas and the surrounding issues and statutory regulations;
  • Understand relevant company policies and its application to CORE support area;
  • Understand company's service offerings in context of CORE support area;
  • Understand company's approval processes and ensures that all stakeholders are timely engaged and informed on the relevant process;
  • Support implementation of new initiatives in CORE support area or within Legal Services (in addition to allocated role);
  • Build credibility and effective relationships internally within Legal/Legal Services team;
  • Assist in introducing process measures for ad-hoc and new service lines;
  • Provide individuals with positive and developmental feedback, and support/ identify specific Legal Services training initiatives;
  • Ensure excellence of output of CORE team members through guidance and review support (e.g. conducting effective QA of other team members' deliverable)
  • Provide coaching and mentoring of Legal Services personnel; and
  • Supervise resources (as required).

 

Specific Responsibilities aligned to Role:

  • Maintenance of corporate records in GEMS;
  • Developing and maintaining trusted working relationships with key individuals and SME's regionally e.g. Treasury, Tax, Controllership, GAP, Local Legal Groups, and External Counsel from all countries.
  • Assist with the drafting and implementation of corporate documentation for entities within region (Articles of Associations and By-Laws; Minutes of Board and Shareholders Meetings; Powers of Attorney and Proxies; Recapitalization documentation).
  • Manage corporate secretarial matters, including documentation necessary to appoint/dismiss Directors and other Corporate Officers.
  • Instruct External Counsel resources on specific projects.
  • Support the team with matters relating to ensuring Policy compliance, research and advisory matters;
  • Understand Code of Business Ethics (COBE), Data Privacy, Anti-Corruption Laws and apply the same to ensure compliance and manage Procurement or Corporate Functions domain;
  • Liaise with internal and external stakeholders on various legal and commercial issues;
  • Competent in building credibility and effective relationships within Legal/Legal Services team and with business and/or external Clients (as applicable);
  • Understand process improvements in CORE support area and assist team in drafting checklists and process documents;
  • Escalate appropriately where needed and coordinate matters with internal stakeholders to find solutions for the various Operating Group;
  • Understand general basic corporate business practices and contracting regulations;
  • Efficient in conducting legal research on primary and secondary legal sources such as West Law, LexisNexis etc.; and
  • Negotiate and drive closure of contracts for medium to high complexity deals.

Qualifications

Knowledge and Skills Requirements:

  • Good communication skills;
  • Fluent in English and French with strong oral and written skills and competent in delivering presentations;
  • Proficiency in Microsoft Excel, PowerPoint, VISIO and Word skills;
  • Detail-oriented, organized, flexible and focused;
  • Display high level of responsiveness and follow through on commitments;
  • Display competence in building credibility and effective relationships with Stakeholders;
  • Display positive, collaborative attitude and leadership;
  • Strong time management, prioritization, analytical and mathematical skills.
  • Above 3 years of working experience in Contract Management.
  • LLB / LLM or any course equivalent.
