The GCC Counsel within the Geographic Compliance & Corporate (“GCC”) team focuses on Accenture’s compliance and operations (not contracting activities between Accenture and its clients in Japan and South Korea) (“Contracting Services”), reporting to the head of the GCC for Japan and South Korea (“GCC Lead”). Currently, Accenture’s operations in South Korea is very limited.
The GCC Counsel is available to help with local issues and to collaborate as necessary with other Compliance, Operations, Regulatory and Ethics (“CORE”) teams across the world and those supporting Contracting Services. The ambit of the GCC Counsel mainly includes compliance, regulatory and operations matters.
The GCC Counsel is expected to demonstrate leadership behaviors. SCOPE OF THE ROLE
Assist the GCC Lead to organize and maintain local legal compliance in Japan through adequate, relevant and proportionate action plans.
Anticipate and support the local needs of the corporate functions such as Procurement, Finance, Marketing and Communications, and Workplace (“Corporate Functions”) including providing legal support to contracting activities between Accenture and its suppliers/vendors.
Help ensure close collaboration with the Corporate Functions in support of Japan.
Ensure Accenture’s lawful operations including obtaining and maintaining regulatory licenses and leading necessary corporate actions such as shareholder’ and/or board resolutions, and corporate registrations both in Japan and South Korea.
Assist the GCC Lead to plan and implement any entity restructuring (such as merger and business transfer and liquidation) as a part of the post-merger integration (“PMI”) after acquisition of other companies and provide any other required support to the PMI.
Support to other Legal Functions
Assist the GCC Lead to foster seamless integration and teaming relationships with the other CORE teams as well as with all teams in Contracting Services in Japan.
Provide coordinated legal education to the other CORE teams, and to the Contracting Services legal professionals in Japan to enable the building of actionable solutions.
Support and assist the GCC Lead to implement the global compliance programs (e.g., related to anti-corruption, data privacy, anti-competition, etc.) in Japan (and if necessary in South Korea).
Develop, initiate, maintain, and revise policies and procedures for the general operation of the compliance program in Japan (and if necessary in South Korea) and its related activities to prevent illegal, unethical, or improper conduct. Manage day-to-day operation of the program.
Collaborate with other departments (e.g., Litigation, Corporate Investigations and Labor & Employment, etc.) to direct compliance issues to appropriate existing channels for investigation and resolution. Consult with such other departments as needed to resolve difficult legal compliance issues.
Respond to alleged violations of rules, regulations, policies, procedures, and Code of Business Ethics by evaluating or recommending the initiation of investigative procedures. Develop and oversee a system for uniform handling of such violations.
Ensure that compliance issues/concerns within the organization are being appropriately evaluated, investigated and resolved.
Monitor, and as necessary, coordinate compliance activities of other departments to remain abreast of the status of all compliance activities and to identify trends.
Identify potential areas of compliance vulnerability and risk; develop/implement corrective action plans for resolution of problematic issues and provide general guidance on how to avoid or deal with similar situations in the future.
Provide reports on a regular basis, and as directed or requested, to keep the senior management informed of the operation and progress of compliance efforts.
Ensure proper reporting of violations or potential violations to appropriate internal stakeholders as appropriate and/or required.
Institute and maintain an effective compliance communication program for Japan, including promoting (a) use of the Legal Hotline; (b) heightened awareness of the Code of Business Ethics, and (c) understanding of new and existing compliance issues and related policies and procedures.
Assist the GCC Lead to develop an effective compliance training program, including appropriate introductory training for new employees as well as ongoing training for all employees and Managing Directors.
Monitor the performance of the compliance program and related activities on a continuing basis, taking appropriate steps to improve its effectiveness.
Serve as trusted business partner to the business leaders and the Corporate Functions on important CORE issues affecting Japan and South Korea, with a focus on early intervention and proactive shaping of solutions.
Meet business needs by leveraging internal and external resources with reusable and industrialized knowledge.
Interact with internal experts, other CORE teams as well as with all teams in Contracting Services in Japan and peers at other companies.
Operate cost effectively and consistent with relevant Accenture policies and the Japan and South Korea geographic legal budget by:
optimizing the development and use of standardized tools and processes;
developing alternative sourcing for both generalist and specialist country support requirements using the Global Legal Network (“GLN”), off-shore resources and outside counsel, after training them as a part of our geographic legal community.
selecting law firms, “Accenturizing” them, making them part of the delivery workforces and regulatory structures.
Assist the GCC Lead to develop and monitor performance metrics for geographic legal support in Japan and South Korea and improve performance against those metrics where necessary.
Manage and mentor the GLN resources deployed to assist the GCC in Japan (Currently 4 Japanese speaking resources).
Internal relationships: report to GCC Lead; work seamlessly with other CORE teams as well as with all teams in Contracting Services in Japan.
External relationships: Assist the GCC Lead to supervise and manage local law firms for GCC services in Japan and South Korea.
Work Requirements: Work remotely but occasionally required to come to our offices and go to a local Legal Affairs Bureau for corporate registrations. Some travel might be required at times (but less likely during the COVID-19 pandemic).
Education: Law degree or JD from a reputable law school required.
Admission: Admission as a lawyer in Japan required (if not admitted in Japan, substantial Japanese law experience at a corporate law department of a reputable company may be acceptable on an exceptional basis).
Work Experience: 5+ years of experience as an attorney in a good corporate law department or law firm.
Knowledge and Skills:
Excellent knowledge of, or ability to understand, the relevant laws in Japan (including those pertaining to compliance, operations, and entity restructuring). Demonstrates sound judgment, ability to prioritize and make decisions, and a high level of common sense, including the ability to “see around corners” and identify risks before they materialize.
Able to present innovative, original solutions and to act as a strategic thinker. Ability to influence, strong executive presence. Responsive and follows through on commitments. Strong time management, prioritization, and organizational skills.
Ability to work effectively with the business and Corporate Functions in Japan and lawyers from law firms.
Fluency in Japanese (ability to revise and draft Japanese contracts and advise internal clients in Japanese language) is a must.
Business English communication skills (e.g., TOEIC score 700+ or equivalent) are required.
