Legal and Commercial Services professionals deliver and coordinate legal, contract and commercial advice and counsel in support of Accenture's or our clients' business, working to manage and mitigate risk and ensure ethical behavior and compliance with laws and company policies.

Job Description:

The Legal Counsel in this position (“Resale Counsel”) will be part of the Global Resale Legal team under the broader Ecosystems legal group which manages supplier relationships. The focus of the Resale Legal team is to support the purchase and sale of third-party technology and related services (on an agency basis) to Accenture clients in over 65 countries. The Resale Counsel, focused primarily on North America sales, will be a subject matter expert in the various considerations affecting resale (such as accounting, tax, trade compliance and local law) and will work collaboratively with business and legal teams to shape deals for optimal results.  

The Resale Counsel must be able to review, draft and negotiate various resale-related agreements, taking the initiative to resolve issues raised by the business, our clients, or suppliers. A positive attitude, the willingness to collaborate, excellent organizational skills, and creative thinking will be keys to success for the candidate assuming this role. 

Team collaboration and people development are critical in this role.  As the resale business continues to evolve, each team member is expected to share knowledge gained and train others in the group.

Key Responsibilities: 
  • Draft and negotiate various resale-related agreements, including master resale agreements, teaming agreements, local country agreements, and various other documents
  • Support and provide subject matter guidance and deal-shaping support to legal and business teams 
  • Aid in the development of templates, knowledge transfer tools and materials; provide training and co-lead projects
  • Support compliance and ethical behavior in relation to all applicable policies, laws and regulations
Basic Qualifications:
  • Bachelor’s degree
  • Minimum 4 years’ experience drafting and negotiating contracts in a corporate or large law firm setting required
Preferred Qualifications:
  • Experience with technology sales, partnerships and other strategic supplier relationships a plus
Professional Skill Requirements:
  • Good business acumen and analytical skills.
  • Ability to prioritize and handle a large number of contracts and projects.
  • Ability to negotiate and lead discussions. At ease with presenting in public. 
  • Deep experience with, and understanding of, key contract provisions such as representations, warranties, indemnities and limits on liability.
  • Demonstrated leadership, teamwork and collaboration in professional setting; either military or civilian  
Work Requirements:  Some travel required.  Location in US or Canada.
