A downstream energy company and Accenture collaborate to enable a rapid and successful IT merger and acquisition implementation through a cloud-based IT solution.
The client is a global energy and petrochemical producer, with around 100,000 employees in more than 80 countries and territories.
In 2012, the client agreed to purchase a retail and marketing business in Eastern Europe, consisting of approximately 100 retail stations and a head office team.
As with many merger and acquisition (M&A) deals, rapid deal completion was required in order to preserve business value. As no IT systems were provided in the deal, but business continuity was required at deal completion, the client needed to find a solution to allow the deal to close rapidly, and enable the acquired business to operate on a new IT platform—separate from both the selling and buying (i.e. the client) company—for a period of up to two years.
The client selected Accenture to assist based on their partnership with Accenture for IT implementation work during numerous divestment and acquisition projects in the previous five years.
The client partnered with Accenture to deliver a solution comprised of a cloud-based IT platform. SAP Business By Design (ByD)—a comprehensive, adaptable, on-demand enterprise resource planning (ERP) solution designed specifically for small and midsize organizations—was used as the ERP solution, the first implementation of this software as a service (SaaS) product for this client.
As well as SAP ByD, the IT platform also included interfaces from the acquired retail sites to the ERP, which were built using BizTalk, Microsoft’s enterprise integration server, running on the Amazon EC2 cloud infrastructure as a service platform.
As many of the detailed business requirements were not known until the deal completed, the team used an iterative and incremental development methodology to ensure the systems would provide the required IT capability to run the business. This project was delivered by an Accenture led team working in the client’s Business Portfolio IT department. In addition to its onshore consulting team, Accenture also leveraged its SaaS delivery capability and the SAP By Design Factory in its India Delivery Center to ensure project success.
Working together, the client and Accenture delivered numerous benefits to the client’s business, including rapid deal completion, enhanced business flexibility, and an acquired business requiring no new infrastructure (through the use of the cloud solution).
The client and Accenture successfully collaborated to complete the first implementation of SAP ByD for an Accenture Diamond Client, demonstrating that the solution can be successfully implemented in a large enterprise-scale organization. Harnessing the power of cloud technology to enable a successful IT M&A implementation, the client and Accenture were able to implement the deal faster and more cost effectively than would be possible through a traditional approach.
Since the business is running separately from the client’s corporate network, the client can now convert the sites to their preferred business model and brand them according to a schedule that complies with in-country regulatory and planning requirements.
Working together, the client and Accenture implemented an innovative cloud-based solution, one that is proving to be a stable and flexible platform on which the client can run future operations.
